Terms of Service - EMA Mail Import Tools

Agreement to These Terms

By granting admin consent to the EMA MailImport Tools app registration in your Microsoft Entra tenant, or by installing or running any component of EMA MailImport Tools, you agree to these Terms of Service on behalf of yourself and the organization you represent.

If you do not agree to these terms, do not grant consent and do not use the software.

Definitions

License Grant

Subject to your compliance with these Terms, ARTEC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for the purpose of migrating email data into EMA within your own organization or, if you are a service provider, within a customer's organization for which you have been engaged to perform that migration.

No other use is licensed.

Third-Party Services

The Software interacts with the Microsoft Graph API, which is operated by Microsoft Corporation. Your use of Microsoft's services is governed by Microsoft's own terms of service, acceptable use policy, and privacy documentation. ARTEC is not responsible for the availability, behavior, or policies of any Microsoft service.

Intellectual Property

The Software, including all source code, compiled binaries, documentation, and associated materials, is and remains the intellectual property of ARTEC IT Solutions GmbH. Nothing in these Terms transfers any ownership right to you. All rights not expressly granted are reserved by ARTEC.

Third-party components distributed with the Software remain the property of their respective owners and are subject to their respective open-source or commercial licenses. A list of third-party components and their licenses is available in the THIRD-PARTY-NOTICES file distributed with the Software.

Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranty of any kind. To the fullest extent permitted by applicable law, ARTEC disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

ARTEC does not warrant that the Software will be error-free, uninterrupted, or compatible with any particular version of Microsoft 365 or PowerShell. Migration results should always be verified by the administrator.

Limitation of Liability

To the fullest extent permitted by applicable law, ARTEC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or related to your use of the Software, even if ARTEC has been advised of the possibility of such damages.

In any case, ARTEC's total aggregate liability arising from or related to these Terms shall not exceed the amount you paid for the Software license in the twelve months preceding the event giving rise to the claim.

Changes to These Terms

ARTEC may revise these Terms at any time. Updated Terms will be published with a new effective date. Continued use of the Software after the effective date of updated Terms constitutes acceptance of those Terms. If you do not accept the updated Terms, you must cease using the Software and revoke the admin consent granted to the app registration in your tenant.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, without regard to its conflict-of-law rules. The exclusive jurisdiction for any dispute arising from or related to these Terms shall be the courts of competent jurisdiction in Germany, unless mandatory consumer or local law in your jurisdiction requires otherwise.
